These Terms and Conditions constitute a legally binding agreement between you and Panana Global LLP. Please read them carefully before using our website or engaging our import-export trade services.
1. Introduction
Welcome to Panana Global LLP ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website located at pananaglobal.com (the "Site") and all related import-export trade services offered by Panana Global LLP.
By accessing or using our Site or services, you agree to be bound by these Terms in their entirety. If you disagree with any part of these Terms, you must discontinue use of our Site and services immediately. These Terms apply to all visitors, users, buyers, suppliers, and any other parties who access our Site or engage our services.
2. Services
Panana Global LLP provides international trade services including, but not limited to:
- Export and import of agricultural produce, spices, coconut products, areca nut products, cold-pressed oils, paintings and artwork, home décor, fashion apparel, and coffee
- Trade consultation, market research, and business intelligence
- Logistics coordination, freight management, and shipping documentation
- Quality assurance, product inspection, and certification assistance
- Custom sourcing and supplier verification services
The availability and scope of our services may vary depending on your location, the products involved, and applicable trade regulations. We reserve the right to modify, suspend, or discontinue any service at our discretion.
3. Trade Terms
3.1 Quotations and Pricing
All quotations provided by Panana Global LLP are valid for 15 calendar days from the date of issue unless otherwise specified in writing. Prices are quoted in the agreed currency and are subject to change based on market conditions, commodity price fluctuations, currency exchange rates, and shipping costs. Prices do not include applicable taxes, duties, or customs charges unless explicitly stated.
3.2 Orders and Contracts
A binding contract is formed only upon written confirmation — whether by email, purchase order acknowledgement, or formal contract — from an authorised representative of Panana Global LLP. All orders are subject to acceptance, availability, and credit approval. We reserve the right to refuse or cancel any order at our discretion, including orders that appear to contain errors in pricing or product information.
3.3 Payment Terms
Payment terms are negotiated on a case-by-case basis and are specified in the sales contract or proforma invoice. Standard payment methods include:
- Letter of Credit (L/C): At sight or deferred, confirmed and irrevocable, from a reputable international bank
- Telegraphic Transfer (T/T): Typically 30–50% advance payment with the balance due before shipment or against copy of Bill of Lading
- Documents Against Payment (D/P): Payment upon presentation of shipping documents through the banking channel
Failure to make payment as agreed may result in suspension of services, cancellation of orders, retention of goods, legal action for recovery, interest on overdue amounts, and reporting to credit agencies.
3.4 Shipping and Delivery
Unless otherwise agreed in writing, all shipping terms follow Incoterms® 2020 as specified in the contract. Risk of loss and title to goods transfer to the buyer as per the agreed Incoterm. Delivery dates provided are estimates only and are not guaranteed. We shall not be liable for delays caused by factors beyond our reasonable control, including but not limited to port congestion, customs clearance delays, adverse weather, or force majeure events.
4. Quality and Claims
4.1 Quality Standards
All products supplied by Panana Global LLP are inspected and, where applicable, certified before shipment in accordance with the quality specifications agreed upon in the contract. We maintain compliance with relevant food safety standards (FSSAI, FDA, EU regulations) and product certifications. Third-party inspection by agencies such as SGS, Bureau Veritas, or equivalent can be arranged at the buyer's request and cost.
4.2 Claims Procedure
Any claims regarding quality, quantity, packaging, or damage must be submitted in writing within 7 calendar days of receipt of goods at the destination port, accompanied by:
- Detailed photographic and/or video evidence of the issue
- Survey report from an authorised independent surveyor
- Original shipping documents (Bill of Lading, packing list, commercial invoice)
- Written description of the discrepancy with reference to contract specifications
Claims not submitted within the stipulated time frame, or without the required supporting documentation, will not be entertained. Liability for claims is limited to the value of the specific goods in question.
5. Intellectual Property
The Site and its entire contents — including but not limited to text, graphics, logos, icons, images, audio, video, software, data compilations, and page layout — are the property of Panana Global LLP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any content from our Site without our prior written consent, except for personal, non-commercial use in connection with normal browsing of the Site.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Panana Global LLP, its directors, officers, employees, affiliates, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages of any kind
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages arising from circumstances beyond our reasonable control, including force majeure events such as natural disasters, pandemics, wars, government actions, embargoes, or supply chain disruptions
- Damages resulting from unauthorised access to or alteration of your transmissions or data
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you for the specific transaction giving rise to the claim.
7. Indemnification
You agree to defend, indemnify, and hold harmless Panana Global LLP and its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Site or services, your violation of these Terms, or your infringement of any third-party rights.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
9. Dispute Resolution
In the event of any dispute or claim arising out of or relating to these Terms, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If the dispute remains unresolved, it may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Bangalore, India, in the English language, by a sole arbitrator mutually agreed upon by both parties.
10. Modifications
We reserve the right to amend, modify, or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting on the Site, and the "Last updated" date will be revised accordingly. Your continued use of our Site or services after any changes constitutes your acceptance of the modified Terms. We recommend reviewing these Terms periodically.
11. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
12. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any specific trade contracts executed between the parties, constitute the entire agreement between you and Panana Global LLP regarding the use of our Site and services. These Terms supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
